Terms of Business
The standard basis on which WordPresent undertakes website design, development, performance and support work.
Last updated: 9 August 2026
WordPresent is operated by Roger Spittle, an independent web design business in the United Kingdom. These terms apply unless a written proposal or agreement states something different.
1. Proposals and scope
A project begins when the client accepts a written proposal, estimate or statement of work and any required initial payment has cleared. The agreed document will describe the scope, deliverables, assumptions, price and expected timetable. Work outside that scope may be quoted separately.
2. Client responsibilities
The client will provide timely access, decisions, content, brand assets and other materials reasonably needed for the work. The client confirms that it has permission to use anything it supplies and is responsible for the accuracy and legality of its business claims, products and website content.
3. Timings, feedback and changes
Dates are good-faith estimates and depend on prompt client feedback and access. Delays in receiving information or approvals may move the schedule. The proposal will state any included revision stages. Additional concepts, revisions, features or changes of direction may require a revised price and timetable.
4. Fees and payment
Fees, payment stages, taxes and due dates are set out in the proposal or invoice. Invoices are payable by the stated due date. WordPresent may pause work, withhold delivery or suspend ongoing services while an overdue amount remains unpaid. The client remains responsible for approved third-party costs.
5. Third-party services
Websites often depend on hosting, domains, themes, plugins, fonts, stock media, APIs and other services supplied by third parties. Their own terms, licences, prices and availability apply. WordPresent is not responsible for a third party changing, withdrawing or interrupting its service, but can help assess suitable alternatives where agreed.
6. Testing, approval and launch
WordPresent will carry out reasonable testing within the agreed scope. The client is responsible for reviewing the website, checking content and confirming approval before launch. Minor faults reported promptly after launch will be investigated where they relate to the agreed work. New requirements are treated as additional work.
7. Intellectual property
Once all agreed fees are paid, the client receives the rights in the bespoke final deliverables described in the proposal, subject to third-party licences. WordPresent retains ownership of pre-existing tools, reusable code, methods and know-how. Unless confidentiality has been agreed, WordPresent may identify the project and show the finished work in its portfolio.
8. Hosting, maintenance and security
Hosting, updates, backups, monitoring and support are included only where specifically agreed. No website or hosting service can be guaranteed free from interruption, vulnerabilities or attack. The client should maintain authorised users, strong credentials and suitable internal procedures.
9. Cancellation
Either party may end a project by written notice if the other commits a serious breach and does not remedy it within a reasonable period. The client may also cancel for convenience, but must pay for work completed, committed third-party costs and any cancellation terms stated in the proposal. Completed or reserved work is not automatically refundable.
10. Liability
WordPresent will provide services with reasonable care and skill. To the fullest extent permitted by law, WordPresent is not liable for indirect or consequential loss, lost profits, loss of data or losses caused by client materials, third-party services or matters outside reasonable control. Any overall liability arising from a project is limited to the fees paid for the relevant services. Nothing in these terms excludes liability that cannot lawfully be excluded.
11. Confidentiality and data protection
Each party will take reasonable care of non-public information received through the project. Personal information is handled in accordance with the Privacy and Cookies notice. Where WordPresent processes personal data on a client’s behalf, additional data-processing terms may be agreed where required.
12. Law and contact
These terms are governed by the law of England and Wales and disputes are subject to its courts, unless mandatory consumer law requires otherwise. Questions should be sent to info@wordpresent.com or discussed by calling +44 7435 341741.
